Federal Judge Halts Paramount-Warner Bros. Merger for 14 Days

A federal judge has temporarily halted Paramount Skydance Corp’s $110 billion takeover of Warner Bros. Discovery Inc. U.S. District Judge Araceli Martínez-Olguín paused the merger for 14 days after the companies aimed to finalize the deal on July 22. The decision follows a lawsuit filed by 12 states, including California and Arizona, on July 13, which argues that the merger could harm competition in the cable and film industries. Although Warner Bros. has agreed to the sale, the judge's order prevents Paramount from completing the transaction. A provision in the merger agreement requires Paramount to compensate Warner Bros. Discovery shareholders if the deal is not closed by September 30. A hearing is set for August 3 to determine if the merger will be blocked indefinitely. The lawsuit claims that the merger would result in four companies controlling 90% of the media market and that the combined entity would hold 27% of the market for films widely released in theaters and 30% of anticipated blockbusters. New York Attorney General Letitia James, one of the state attorneys general involved in the lawsuit, expressed concerns that the merger would negatively impact consumers and the industry.
